Zeli · Restaurant Partner Brief
You keep 100% of your menu price. We take our cut from the customer, not from you.
Everything a Bonaire restaurant needs to decide whether to join Zeli for food delivery — the fees, the flow, the law, the equipment, in plain language.
1. Who you are dealing with
Zeli is the trading name of Shekhinah Tours B.V., a private limited liability company incorporated under the laws of the Caribbean Netherlands, established in Bonaire and registered with the Chamber of Commerce (KvK). The company is headquartered in Kralendijk, Bonaire and holds the transportation permit under which every Zeli courier operates.
When you sign a Merchant Agreement, you are signing with a Bonaire-registered company that answers to Bonaire and Caribbean Netherlands law. There is no offshore parent between us. You can reach someone in person, at your venue, in the same week.
2. What Zeli does for a restaurant
Zeli is a food delivery platform for Bonaire. Customers order from your menu inside the Zeli app; we dispatch one of our couriers; the courier picks up from your kitchen and delivers to the customer. You cook, we do the rest.
What you do: confirm the order on the H10s device, set a prep time, cook, hand the packaged order to the courier at your counter.
What Zeli does: take the order, take the payment, find and dispatch the courier, run the pickup and delivery, keep the customer informed at every step, and settle your money to your bank account.
3. What Zeli never takes from you
This is the most important part of this document, and every point below is enforced by the platform.
- No commission on your menu prices. You set your prices in the merchant portal. Whatever you set, you keep 100% of. Our cut is a 6% markup we add on top of your price — the customer pays that, not you.
- No monthly fee. No listing fee. No onboarding fee. Ever.
- No fee on tips. 100% of every customer tip goes to the courier. Not to Zeli, not to you.
- No charge for the H10s device during the partnership. Details in section 8.
- Founding partners: the terms above are locked in permanently. If Zeli ever changes the model for new partners, founders are exempt.
4. The full fee table
Every line the customer sees on their receipt, and where each line goes. Live numbers from the platform today.
| Line on customer receipt | Amount | Who receives it |
|---|---|---|
| Your item price × quantity | Whatever you set | You — 100% |
| Zeli markup on items | +6% of your item total | Zeli, minus a flat $1 courier top-up |
| Delivery fee | $10.00 flat | Courier — 100% |
| Platform fee | $1.50 flat | Zeli |
| Cash handling (cash orders only) | $0.50 | Zeli |
| Customer tip (optional) | Customer chooses | Courier — 100% |
Worked example — one card-paid delivery order:
Zeli markup 6% = +$1.44
Delivery fee (2 km) = +$9.00 ($7.50 + $0.75/km)
Service fee = +$3.00
Customer pays = $37.44
You receive = $24.00
Courier receives = $9.00 + $1.00 top-up = $10.00
Zeli receives = $3.44 ($0.44 markup + $3.00 service)
Cash orders are supported. There is a $100 total cap on cash orders — anything above that total must be paid by card. The $0.50 cash handling fee applies only to cash orders and is charged to the customer, not to you.
5. How you get paid — every 2 weeks
- Payout cadence: every 2 weeks. Zeli automatically settles the previous 14 days of orders and transfers your net to your Bonaire bank account. No request needed on your side.
- Card orders. The customer's card is authorized when the order is placed and captured the moment you confirm on the H10s. Zeli receives the funds, holds them, and pays out your share in the next bi-weekly cycle.
- Cash orders (delivery). The courier collects from the customer at the door and deposits Zeli's share back to us. Your share is credited to your wallet and paid out in the next cycle.
- Cash orders (pickup). If a customer orders on the app but chooses pickup and pays cash at your counter, you keep the cash. The Zeli markup on that order is netted from your next payout.
- Your bank. Any Bonaire bank works — MCB, RBC, ORCO, Banco di Caribe, or any other bank you use. You add the details in the merchant portal; we transfer straight to that account.
- Monthly statement. On the 1st of each month you get a downloadable PDF with the previous month's order-by-order breakdown, bi-weekly totals, and running-year revenue.
6. How a Zeli food order actually works
- Customer places the order in the Zeli app. Card payment is authorized at this point — no money moves until you confirm. Cash orders skip payment and go straight to dispatch.
- Zeli dispatches to the nearest available courier. The courier receives the ping and has a limited window to accept before Zeli tries the next one.
- The courier accepts, and your H10s wakes up. A push notification hits your kitchen terminal. You have exactly 3 minutes (180 seconds) to confirm the order and set the prep time. The countdown is enforced by an automatic background job.
- You confirm and set the prep time. Payment is captured on the card at this exact moment. The order moves to “preparing” and the customer sees a live countdown.
- The courier drives to your venue.Your dashboard shows the courier's live ETA.
- The courier arrives, picks up, and delivers. You do nothing else until the next order.
7. What you must know legally
The Merchant Agreement sets out the legal framework in full. The points below are what every restaurant partner must be aware of before signing.
- Registered business. Your business must be legally registered in Bonaire, Caribbean Netherlands. Zeli cannot onboard an unregistered operator.
- Food safety compliance — Warenwetbesluit Hygiëne van levensmiddelen. You must comply with all applicable Bonaire food safety, hygiene, and licensing regulations, including the Food Hygiene Decree as applied in the Caribbean Netherlands. That includes maintaining proper food temperatures, hygienic preparation environments, and correct allergen labeling. Zeli does not audit your kitchen but reserves the right to suspend accounts flagged by regulatory authorities or subject to repeated verified customer health complaints.
- Safe packaging for transit. You are responsible for packaging every order in sealed, leak-proof, temperature-appropriate containers suitable for courier transit. Hot food must be packaged to retain heat; cold or refrigerated items must be clearly labeled and kept separate from hot food. Inadequate packaging that causes contamination, spillage, or temperature loss during transit is your responsibility.
- Merchant responsibility — up to handoff. The quality, accuracy, completeness, and safe packaging of every order is your responsibility up to and including the moment of physical handoff to the Zeli courier. This includes correct portion sizes, proper sealing, and clear allergen marking.
- Courier responsibility — after handoff. From the moment of pickup, the Zeli courier assumes full responsibility for the safe, hygienic, and timely delivery of the order. Zeli couriers are required to transport food only in Zeli-approved thermal insulated delivery bags, kept clean and properly sealed during transit.
- Excluded product categories.Under local rules, Zeli's platform cannot deliver alcohol, tobacco, or prescription medication — regardless of what is on your menu. Your in-venue business is unaffected; the items are simply flagged as not-orderable in the Zeli app.
- Original photography only. Any menu-item or storefront photos you upload must be original. Stock photos, images from Google or Pinterest, photos taken by another restaurant, and AI-generated images are strictly prohibited. A copyright violation results in immediate suspension.
- You can leave any time. The Merchant Agreement has a 30-day cancellation clause with no penalty.
8. The H10s device — your kitchen terminal
Every Zeli restaurant partner gets an H10s smart terminal: a compact device that sits at your counter, reception, or bar and receives new orders, prints kitchen tickets, and gives you confirm / set-prep-time / mark-ready controls in one place. No phone in someone's pocket, no shared iPad, no missed pings.
What Zeli provides:
- One H10s device on loan for the duration of the partnership. Zeli owns the device; you use it. No purchase, no rental fee.
- Pre-configured out of the box— wired to your merchant account and to Zeli push before it lands at your venue. Turn it on, connect to Wi-Fi, and it's ready.
- Loud push alerts + automatic ticket print — when a new order comes in the H10s rings, shows the full order and the prep-time selector, and prints a kitchen ticket the moment you confirm.
- Installation and short walkthrough with your team so the first shift on Zeli goes smoothly.
Your side of the loan:
- Take reasonable care of the device. Keep it powered and connected to the internet during business hours.
- Use the device only for receiving and processing Zeli orders. You may not sell, lease, or transfer it to a third party.
- If the device is lost, stolen, broken, or otherwise damaged while in your care — other than through a manufacturing defect — you are responsible for the full cost of repair or replacement.
- When the Merchant Agreement ends, for any reason, return the device to Zeli in good working condition within 7 days.
9. Menu photography
For your Zeli menu, you have two options:
- Use your own photos. Upload photos of your menu items directly to the merchant portal. You retain full rights and can use them anywhere — on your website, social media, or any other platform.
- Zeli takes professional photos for you.We can arrange to photograph your dishes on-site. You own the final files and can use them wherever you want — they're yours to keep.
Original photography only. Any menu-item or storefront photos you upload must be original — taken by you or your team. Stock photos, images from Google or Pinterest, photos taken by another restaurant, and AI-generated images are strictly prohibited. A copyright violation results in immediate suspension.
10. Refunds, cancellations, disputes
- Customer cancels before you confirm: auto-refund, courier released, no impact on you.
- You miss the 3-minute confirmation window: auto-refund customer, courier released, order marked as a merchant timeout. No rating impact.
- You confirm, then need to reject: single-tap reject with a reason (out of an item, kitchen issue, etc.). Zeli handles the customer refund and courier release automatically.
- Customer disputes a delivered order. Zeli handles it directly with the customer. If we need information from you — for example, was this item on the order — we ask directly with the full order transcript. We do not chargeback merchants; Zeli absorbs the refund unless the restaurant clearly failed to fulfill the order.
- Order amendments. If a customer orders wrong or wants to add on, dispatch can amend the order and either charge the balance to the customer's card or refund the difference automatically.
11. What Zeli provides free to founding partners
Founding restaurant partners get real onboarding services that would cost you a significant amount if you paid a local agency:
- Professional menu photography — free. Zeli sends a photographer to your venue. You get high-resolution photos of your menu items, storefront card, and a hero video. Delivered as final files, yours to keep and use anywhere.
- Menu setup — free.Zeli's team enters your full menu into the merchant portal for you. You review and approve; you do not type it in yourself.
- H10s device — free loan. Pre-configured, delivered, and installed with a short walkthrough. See section 8.
- Launch marketing co-listing.Founding restaurants appear in Zeli's launch communications (Instagram, WhatsApp broadcasts, local press) at zero cost.
- Founding-partner badge on your storefront card in the customer app — a visual signal that customers see.
- Premium sort in the customer feed during the first launch phase. You appear above later-joining restaurants in your category.
12. What we're asking, concretely
- Sign the Zeli Merchant Agreement.
- Give us 30 minutes with your team. We enter your menu, take your photos, set your hours and default prep time, deliver the H10s and connect it to your Wi-Fi.
- Run a small handful of test orders with us before we go public. You get to feel the flow; we catch anything that surprises you.
- Be honest with us. What breaks for your customers, what feels wrong, what would make you actually rely on this — we will fix it.
